Cospower Engineering Ltd has announced the results of a postal ballot conducted via remote e-voting, with the last date of voting being March 26, 2026. Only one special resolution was put to shareholders – to approve the overall borrowing limits of the company under Section 180(1)(c) of the Companies Act, 2013. Out of 18,36,500 total outstanding shares, 11,28,500 shares (61.45% of outstanding equity) participated in the voting. The resolution was passed unanimously with 100% of polled votes (11,28,500) in favour and zero votes against. Promoter and promoter group voted all their 11,01,999 shares in favour, while only 26,501 shares (3.6%) of the public non-institutional category voted, also entirely in favour. No public institutional shareholders participated.
Shareholders have authorised the board to raise the company's overall borrowing ceiling, giving management greater financial flexibility to take on additional debt. With 100% approval and no opposition, this is unlikely to be controversial in the short term, but retail investors should monitor how the company utilises the expanded borrowing capacity, as it could lead to higher leverage and interest costs down the line.
