The scheme of amalgamation between Medinova Diagnostic Services Limited and Vijaya Diagnostic Centre Limited has become effective from November 4, 2025. The certified copy of the NCLT order sanctioning the scheme was filed with the Registrar of Companies, Hyderabad on the same date. Following effectiveness, Medinova will stand automatically dissolved without going through the winding-up process. The offices of all directors, key managerial personnel, and statutory auditors of Medinova will stand vacated from November 4, 2025. The announcement follows the outcome of Medinova's board meeting held on November 3, 2025.
Medinova shareholders will receive shares of Vijaya Diagnostic Centre Limited in exchange as per the approved swap ratio, and Medinova's shares are likely to be delisted from BSE shortly. Existing investors in Medinova effectively become shareholders of the larger Vijaya Diagnostic entity.
