DCM Shriram's board has approved acquiring 100% of Hindusthan Speciality Chemicals Limited (HSCL) for Rs. 375 crores in cash. HSCL operates in the Epoxy & Advanced Materials business from a plant in Jhagadia, Bharuch (Gujarat), located just 3.5 km from DCM Shriram's existing chemicals complex. The acquisition marks DCM Shriram's entry into the epoxy and advanced materials space, serving as a downstream integration of its Epichlorohydrin (ECH) business. HSCL reported FY25 turnover of ~Rs. 274.7 crores but is loss-making with negative networth of Rs. (76.1) crores. The deal is expected to close by September 2025, subject to HUIL shareholder approval and other customary clearances. This builds on DCM Shriram's earlier Rs. 1,000 crore commitment announced in February 2024 to set up its Epoxy and Advanced Materials business.
Strategically positive as it gives DCM Shriram a foothold in the high-growth advanced materials space (aerospace, EVs, renewables, defence) with strong synergy potential. Near-term financial impact may be muted given HSCL's current losses, but the strategic location and integration benefits could drive value creation over the medium term.
