Deep Industries Limited has received approval from the NCLT Ahmedabad Bench (order dated March 23, 2026) for its Scheme of Amalgamation merging Kandla Energy and Chemicals Limited (KECL), its wholly-owned subsidiary, into itself. The merger is being carried out under Sections 230-232 of the Companies Act, 2013. This is an update to the company's earlier disclosure dated June 30, 2025, on the same scheme. Since KECL is already a 100% subsidiary, the merger is a pure consolidation with no change in ultimate ownership for shareholders.
No immediate impact on shareholding or stock price is expected since the merging entity is already a wholly-owned subsidiary — this is a simplification of the corporate structure rather than a value-accretive acquisition. Shareholders may benefit from streamlined operations and reduced compliance costs going forward.
