Acquisition of SNA Milk (71.09%) and DFSU Farmer Connect (42.69%) via share swap

Desi Farms India Ltd acquired 71.09% in SNA Milk and Milk Products (dairy and ice cream) and 42.69% in DFSU Farmer Connect (ice cream and snacks) through a share swap. The company allotted 2,11,07,790 equity shares worth about Rs. 284.96 Crores. SNA's FY25 turnover was Rs. 33.74 Crores, up from Rs. 17.9 Crores in FY23, showing growth. This is a related party deal as MD Sunil Kumar Shahi is a director in both target companies, though priced at arm's length. All regulatory approvals secured. Company plans full 100% acquisition in due course.
