Dhansafal Finserve Ltd's Board of Directors, via a circular resolution dated March 30, 2026, approved the conversion of 1,25,00,000 (1.25 crore) share warrants into an equivalent number of fully paid-up equity shares of Rs. 1 each at an issue price of Rs. 4.31 per warrant. The Company received Rs. 4.04 crore as the remaining 75% balance consideration, taking total warrant value to around Rs. 5.39 crore. The conversion was made to a single investor, Luharuka Exports Private Limited, which will hold 4,57,30,000 shares (20.13%) post-conversion. As a result, the paid-up equity capital of the Company has increased from Rs. 21.46 crore to Rs. 22.71 crore.
This is a non-dilutive cash event since the warrants were already issued earlier and the Company is now collecting the balance 75% amount, strengthening its capital base. Shareholders should note a small dilution effect as the equity base expands by about 5.8%, with Luharuka Exports emerging as a significant 20.13% holder, indicating concentrated promoter-group-like control.
