Dixon Technologies has executed three agreements on July 16, 2025 to formalise its 50:50 joint venture with Signify Innovations India Limited, named Lightanium Technologies Private Limited (incorporated June 26, 2025). Under the deal, Dixon will transfer its entire lighting business undertaking on a slump sale basis and its 100% stake in wholly-owned subsidiary Dixon Technologies Solutions (DTSPL) into the JV, in exchange for shares giving it a combined 49.12% stake. Signify will contribute its Vadodara LED lighting manufacturing operations plus ₹140.3 crore in cash for the remaining 50.88% stake. Dixon's lighting business contributed ₹828 crore (15.33% of standalone turnover) in FY25, while DTSPL contributed ₹372 crore (0.96% of consolidated turnover). The transaction is expected to close by November 30, 2025, subject to conditions precedent.
Dixon is shifting its lighting operations into a partnership with global lighting major Signify, retaining 50% economic interest while gaining access to Signify's brand and technology. This is part of Dixon's strategy to consolidate its position in the lighting OEM segment, though it means Dixon will no longer fully own a business contributing ~15% of its standalone revenue.
