Dixon Technologies has formally signed a Joint Venture Agreement with Signify Innovations India Limited (the lighting arm of the global Signify/Philips group) to set up a 50:50 joint venture company in India. The new JV will operate as an OEM of lighting products and accessories. Dixon will contribute its existing lighting business — including its wholly-owned subsidiary Dixon Technologies Solutions Private Limited (DTSPL) — into the JV in exchange for its 50% stake, while Signify will pay cash for its 50% stake, which will be used to bring Signify's LED manufacturing business into the JV. The deal follows a binding term sheet signed on March 27, 2025, and is expected to close by November 30, 2025, subject to customary conditions. The transaction qualifies as a related-party transaction and will be carried out at arm's length with valuation reports as required by law.
This is a strategically positive move that combines Dixon's manufacturing and execution strengths with Signify's global brand and lighting technology leadership, strengthening Dixon's foothold in the Indian lighting ecosystem.
