Dixon Technologies has formally executed a joint venture agreement with Signify Innovations India (formerly Philips Lighting) to set up a new company in India for manufacturing lighting products and accessories on an OEM basis. The new JV company will be owned 50:50 by Dixon and Signify, with neither party taking a stake in the other. Dixon will contribute its lighting business, including its 100% subsidiary Dixon Technologies Solutions Private Limited (DTSPL), as non-cash consideration, while Signify will pay cash for its 50% stake. The deal is expected to close by November 30, 2025, subject to customary conditions. The transaction qualifies as a related party transaction and will be carried out at arm's length with mutual valuation reports.
This is a significant strategic move that pairs Dixon's manufacturing scale with Signify's global lighting brand and technology, strengthening Dixon's position in the Indian lighting ecosystem. Shareholders may view this positively given Signify's marquee global presence, though the lighting business transfer means Dixon will share future profits and decision-making in this segment equally with its partner.
