Dr. Agarwal's Eye Hospital Limited (AEHL) has been directed by the NCLT Chennai Bench, via its order dated May 05, 2026, to convene a meeting of its unsecured creditors on Thursday, July 02, 2026 at 11:30 AM at The Music Academy, Chennai, to consider a Scheme of Amalgamation with Dr. Agarwal's Health Care Limited (AHCL). Under the scheme, AEHL (transferor) will merge into AHCL (transferee), which already holds a 72.67% stake in AEHL. BSE and NSE had earlier issued no-objection/observation letters in February 2026, and the scheme was approved by the Board on August 27, 2025. AEHL operates 63+ eye care facilities supported by 250+ doctors, while AHCL runs 288 facilities across 14 Indian states and 5 UTs, plus 19 facilities in Africa, making it India's largest eye care chain by FY2024 revenue. Remote e-voting via NSDL runs from June 07, 2026 (9:00 AM) to July 01, 2026 (5:00 PM), with the cut-off date set as December 31, 2025. The merger is expected to be EPS accretive from the first year of implementation.
If approved by the requisite majority (three-fourths in value of unsecured creditors voting), AEHL will merge into its listed parent AHCL, simplifying the group structure and consolidating operations into a single stronger entity. Shareholders of AEHL should expect a share swap based on the PwC and Bansi S. Mehta valuation report dated August 26, 2025.
