Ecoplast Ltd has informed the stock exchange about an order passed by the NCLT Ahmedabad Bench on 14th October 2025 in relation to the proposed Scheme of Amalgamation of Kunal Plastics Private Limited (Transferor Company) into Ecoplast Ltd (Transferee Company), filed under Sections 230-232 of the Companies Act, 2013. The NCLT has directed the company to convene meetings of its equity shareholders and unsecured creditors within 45 days, via video conferencing, to consider and approve the amalgamation scheme. The company had earlier filed a joint scheme application with the NCLT on 2nd July 2025. A certified copy of the NCLT order is still awaited.
This is a procedural step forward in the amalgamation process. The scheme now moves to the shareholder and creditor voting stage within 45 days. Approval of the merger could be a positive development for Ecoplast's scale and operations, but final outcome depends on the votes and subsequent NCLT sanction.
