Ecoplast Ltd (BSE: 526703) has received NCLT Ahmedabad Bench approval for the amalgamation of Kunal Plastics Private Limited (KPPL/Transferor) into Ecoplast Limited (Transferee). The order was pronounced on 14 May 2026 under Sections 230-232 of the Companies Act 2013. The appointed date for the scheme is 01 April 2025. KPPL will be dissolved without winding up upon compliance. All assets, liabilities, employees, and pending proceedings of KPPL will transfer to Ecoplast. The certified copy of the order is awaited, and the scheme will be effective upon filing E-Form INC-28 with the Registrar of Companies. BSE had already issued its observation letter dated 05 June 2025 pursuant to SEBI regulations.
The amalgamation will expand Ecoplast's business operations by consolidating KPPL. Shareholders of Ecoplast should note that the scheme is now legally sanctioned, pending completion of ROC filing and stamp duty compliance. No open offer trigger appears applicable as this is a scheme-based amalgamation under NCLT approval.
