NCLT Mumbai on Sept 21, 2026 approved the demerger scheme between EFC Limited (wholly owned subsidiary) and EFC (I) Limited. EFC's asset-light managed office business (leased premises vertical) will merge into EFCIL. NCLT dispensed with meetings of shareholders and creditors. No new EFCIL shares will be issued since EFC is already wholly owned by EFCIL. Appointed date is Jan 1, 2026. Scheme still needs other regulatory approvals.
NCLT approval is a key milestone; no new shares issued so no dilution. Scheme still pending other regulatory approvals.
