Sun TV Network has informed that the Scheme of Amalgamation between its subsidiaries — Udaya FM Private Limited (Transferor) and Kal Radio Limited (Transferee) — became effective on 1st May 2025. The scheme was previously approved by the National Company Law Tribunal (NCLT), Division Bench II, Chennai under Sections 230 and 232 of the Companies Act, 2013. This follows the company's earlier disclosure dated 1st April 2025 about the NCLT approval. Both entities are subsidiaries of Sun TV Network, making this an internal group restructuring.
This is an internal consolidation between two of Sun TV Network's subsidiaries and is unlikely to have a material impact on the parent company's financials or share price. Shareholders should note that Udaya FM will now merge into Kal Radio, streamlining the radio business within the Sun TV group.
