Dynalog (India) Limited along with five individual acquirers (members of the Adhalrao family) has triggered a mandatory Open Offer to acquire up to 2,61,300 equity shares (26.00% of voting share capital) of EMA India Limited from public shareholders at Rs. 124.00 per share, for a maximum consideration of Rs. 3.24 crore in cash. This follows a Share Purchase Agreement signed on July 30, 2025, under which the acquirers will buy 4,52,549 shares (45.03%) from existing promoters—the Bhargava family and Diatech Tools India Pvt Ltd—at the same price of Rs. 124 per share, totaling Rs. 5.61 crore. Post-transaction, the acquirers will become the new Promoters/Promoter Group of EMA India. The acquirers have confirmed no intention to delist the target company. A Detailed Public Statement is expected by August 6, 2025.
This is a change-of-control deal where the existing promoter group is exiting and a new promoter group (Adhalrao family via Dynalog) is taking over. Existing public shareholders get a cash exit opportunity at Rs. 124/share. The relatively small offer size (26%) suggests no delisting plans, so retail investors who don't tender can continue holding under new management.
