Emami Limited's Board has approved acquiring a 60% stake in IncNut Digital Private Limited through a Share Subscription and Purchase Agreement (SSPA). The all-cash deal is valued at up to Rs. 321 crores. IncNut Digital operates personalized beauty and personal care brands Vedix and SkinKraft through its subsidiary IncNut Lifestyle Retail. The company had turnover of Rs. 175.1 crore in FY 2024-25, down from Rs. 231.9 crore in FY 2022-23. The acquisition is expected to complete within 30 days, subject to standard closing conditions. Following the transaction, IncNut Digital will become a subsidiary of Emami. The company also plans to acquire the remaining stake within 4.5 years based on future performance.
This acquisition strengthens Emami's presence in the high-growth beauty and personal care segment and aligns with its strategy to expand into personalized BPC products. The deal is not a related party transaction and does not require regulatory approvals.
