NCLAT has allowed Embassy Developments Ltd's appeal and set aside the December 2025 NCLT order that had admitted insolvency proceedings against the company. The tribunal dismissed Canara Bank's Section 7 petition which was based on a corporate guarantee the company had issued in 2010 for a loan to a related entity. NCLAT found that the original guarantee only covered equity infusion obligations, not debt repayment, and that a subsequent 2012 guarantee deed had discharged the company from its obligations. The tribunal also noted the bank's recall notice was issued during the Section 10A moratorium period and that material facts were suppressed. With the CIRP now quashed, the company is fully relieved from insolvency proceedings and continues normal operations.
Positive for shareholders - the insolvency threat has been completely removed by the appellate tribunal, allowing the company to operate without bankruptcy proceedings.
