eMudhra's subsidiary (eMudhra B.V.) is acquiring a 51% controlling stake in Austria-based Cryptas International GmbH, a European provider of encryption, digital trust, and cybersecurity services. The immediate cash consideration is EUR 5 million (~INR 47-50 crores), plus an earn-out based on 10x EBITDA for 2026. A Put/Call option on the remaining 49% is reserved for 2028-2030, payable in cash or share swap. Cryptas reported FY2024 revenue of EUR 9.7 million (~INR 97 crores) and brings subsidiaries in Germany, Sweden, and the Netherlands, along with PrimeSign GmbH (a Qualified Trust Service Provider under EU eIDAS rules). The deal is expected to close in 3-4 weeks, with Austrian government approval already secured.
This acquisition strengthens eMudhra's presence in the European digital trust and cybersecurity market, adding meaningful revenue (Cryptas ~INR 97 crores) and regulatory capabilities (eIDAS, GDPR, NIS2). For shareholders, it signals international expansion and potential revenue accretion, though the deferred earn-out and future Put/Call option introduce additional financial commitments through 2030.
