Bijoy Hans Ltd has completed a change in management and control following an open offer under SEBI SAST Regulations, which closed on 3rd July 2025 with zero shares tendered by public shareholders. Four acquirers - U G Patwardhan Services Pvt Ltd, Mr. Kaushal Shah, Agri One India Ventures LLP, and Mr. Shantanu Surpure - had offered Rs. 12.50 per share for 26% of voting capital, with 100% consideration kept in escrow. The new promoters also received 45 lakh equity shares via preferential allotment at Rs. 12.50/share, raising Rs. 5.62 crore. Mr. Kaushal Shah has been redesignated as Chairman & Managing Director, while multiple old directors (including CFO Richi Patawari) resigned. New statutory auditor (M/s. Khire Khandekar J Kirloskar), CFO (Mr. Abhiram R), and two independent directors have been appointed. Q1 FY26 results showed zero revenue from operations, total income of Rs. 3.41 lakh, and a net loss of Rs. 25.29 lakh (worse than Rs. 5.25 lakh loss in Q1 FY25). The 40th AGM is scheduled for 25th August 2025.
The company has effectively changed hands with a new promoter group taking control, though operational performance remains weak with no revenue from operations and widening losses. Shareholders should watch for new business direction from the Sangli-based management team, as the old management from Guwahati has fully exited.
