Filatex India has acquired an additional 1.99 crore equity shares of its wholly owned subsidiary, Texfil Private Limited, at Rs. 10 per share (face value Rs. 1), investing a total of Rs. 19.98 crore. The funds will primarily finance Texfil's ongoing Polyester Textiles Recycling Project, repay an existing loan taken from Filatex, and support working capital needs. Texfil was incorporated in June 2021 and has not yet started commercial operations. The transaction is a related-party deal between Filatex and its subsidiary, conducted at arm's length, and no regulatory approvals were required.
This is an internal capital infusion into a wholly owned subsidiary, so there is no direct impact on Filatex's share count or shareholder dilution. Investors should note that Rs. 19.98 crore of capital is being deployed into a pre-commercial recycling project, which represents a growth bet but carries execution risk until Texfil begins operations.
