Foseco India board approved acquiring Vesuvius India Mehsana manufacturing facility in Gujarat, which makes crucibles, stoppers and sleeves for the non-ferrous sector. The deal is a slump sale as a going concern for a lump sum cash consideration of Rs 43.25 Crore. The facility posted FY25 turnover of Rs 58.13 Crore, up from Rs 48.42 Crore in FY24. It is a related party deal (both firms sit under UK parent Vesuvius plc), done at arm's length with an independent valuation. The acquisition aims to strengthen Foseco's product portfolio and unlock synergy after its recent Morganite Crucible India buy. Expected completion by 31 December 2026.
Boosts scale and product range in core crucibles business. Cash deal at arm's length with clear synergy case, though near-term integration and approval risks remain.
