AI summary

The Board of G R Infraprojects met on 15th May 2025 and approved audited standalone and consolidated financial results for Q4 and FY ended 31st March 2025. The statutory auditors (S R B C & Co LLP) issued an unmodified (clean) opinion, but flagged an Emphasis of Matter regarding an ongoing regulatory case at the Gauhati High Court linked to a labour law inquiry (ESI Act) at the company's Bhanguri (Assam) project — the company has challenged the inquiry report. The Board also appointed M/s Rajendra Singh Bhati & Co. as Cost Auditors for FY26 and M/s Ronak Jhuthawat & Co. as Secretarial Auditors for a 5-year term (FY26–FY30). It recommended re-appointment of Independent Director Mr. Rajendra Kumar Jain and Wholetime Director Mr. Vikas Agarwal, both for 5-year terms starting 1st April 2026, subject to shareholder approval. The results include several exceptional items, mainly gains from selling subsidiary stakes (GR Aligarh, GR Bhanguli) and other assets to the IndInfra Trust, a related party where the company is the sponsor.

Likely market impact

FY25 financials show a meaningful year-on-year decline in profit after tax versus FY24, partly because high prior-year base included large exceptional gains; operating margins appear compressed. The disclosed sub-judice ESI matter is being watched but management says financial impact will not be significant. Subsidiary stake monetisation into IndInfra Trust provides cash but also signals continued related-party transactions shareholders should track.
