Gayatri Projects has filed its 36th Annual Report for FY 2024-25 with the stock exchanges. The 36th Annual General Meeting will be held on March 5, 2026 at 3:00 PM through video conferencing. Key financial numbers show continued weakness: turnover fell sharply to ₹44,992 lakhs from ₹67,955 lakhs in FY24, and the company reported a net loss of ₹6,880 lakhs, taking accumulated reserves to negative ₹1,51,035 lakhs and net worth to negative ₹1,47,291 lakhs. The company recently emerged from the Corporate Insolvency Resolution Process (CIRP), having completed a one-time settlement of ₹750 crore in debt and is now debt-free of consortium loans, with an order book of about ₹5,500 crore. AGM resolutions include re-appointment of CMD Mr. T.V. Sandeep Kumar Reddy, fixing his monthly salary at ₹44 lakh plus ₹15 lakh in perquisites, ₹10 lakh per month for Executive Director Mrs. T. Sarita Reddy, and a one-time compensation of ₹22.5 crore to the CMD for the CIRP period (November 2022 to March 2026).
Shareholders should note the company is still loss-making with negative net worth, but is now out of CIRP, debt-free on consortium loans, and has a sizeable order pipeline, which could support a turnaround. However, the proposal to pay ₹22.5 crore one-time to the promoter-director and large salaries despite ongoing losses may be a concern for governance-minded investors; these resolutions require shareholder approval at the AGM.
