GE Power India Limited (GEPIL) has received 'No Adverse Observations' from BSE and 'No Objection' from NSE on April 1, 2026 for its proposed Scheme of Arrangement (demerger) with JSW Energy Limited (JSWEL). Under the scheme, GEPIL (Demerged Company) will transfer its business to JSWEL (Resulting Company) under Sections 230-232 of the Companies Act, 2013, with GEPIL shareholders receiving shares in JSWEL in exchange. The board had first approved the scheme in September 2025, and SEBI gave its observations on March 30, 2026. The observation letter is valid for six months, meaning the scheme must now be filed with the NCLT by early October 2026 for further approval.
This is a key regulatory clearance, taking the demerger one step closer to completion, but the deal is still subject to NCLT approval, shareholder and creditor votes, and other clearances. GEPIL shareholders should watch for the share exchange (swap) ratio and related disclosures, which will be included in the explanatory statement sent to shareholders before the voting process.
