Genus Prime Infra Ltd (formerly Gulshan Chemfill Limited) has completed the allotment of shares as part of a complex court-approved scheme involving multiple entities including Genus Power Infrastructures Limited (GPIL) and Yajur Commodities Limited (YCL). The company allotted 5.08 crore equity shares to GPIL shareholders and 1.23 crore equity shares to YCL shareholders, both with face value of Rs 2 each. Additionally, 4.88 lakh Zero Coupon Redeemable Preference Shares and 18 lakh 9% Cumulative Non-Convertible Redeemable Preference Shares were allotted to YCL preference shareholders. The equity share capital increased to Rs 15.60 crore (7.80 crore shares), and no shares were issued for three wholly-owned subsidiaries being amalgamated as they were already 100% held.
Shareholders of GPIL and YCL are receiving shares in Genus Prime Infra as part of the demerger, which will increase the listed share capital significantly. The new equity shares will be listed on BSE while preference shares remain unlisted. Existing shareholders should note the substantial dilution effect from the 7.80 crore total shares now outstanding.
