GOCL Corporation has received an observation letter from BSE with no adverse observations for the proposed merger by absorption of Hinduja National Power Corporation Limited (HNPCL) into GOCL Corporation. This approval is a key regulatory milestone that allows the company to now file the scheme with the Hon'ble NCLT. The scheme remains subject to NCLT approval, shareholder approvals from both companies, and other regulatory clearances. SEBI has provided 16 compliance conditions including detailed disclosures on valuation reports, financial statements, shareholder classifications, and ongoing legal proceedings. The observation letter is valid for six months within which the scheme must be submitted to NCLT.
The no adverse observations from BSE clears a major regulatory hurdle for the merger. Shareholders should note that the deal is still pending NCLT and shareholder approvals, with several SEBI compliance conditions to be met before completion.
