Greenply Industries has terminated its 2014 Joint Venture Agreement with Kulmeet Singh and signed a JV Termination and Share Transfer Agreement on 23rd February 2026. Through its wholly owned subsidiary Greenply Holdings Pte. Ltd. (Singapore), the company will acquire the 50% stake held by Kulmeet Singh in Greenply Alkemal (Singapore) Pte. Ltd. (GASPL) for a nominal cash consideration of USD 1. After the transaction, GASPL will become a wholly owned step-down subsidiary. GASPL is engaged in trading and marketing of commercial veneers and panel products, with turnover of USD 16.7 million in FY25 (up from USD 13.4 million in FY24 and USD 3.07 million in FY23). The reason cited is that there is no active business with the JV partner under the JV entity, making it a clean-up consolidation move.
This is a non-material, housekeeping transaction — consolidating a JV into a wholly owned subsidiary at a nominal USD 1 cost. It streamlines corporate structure and gives Greenply full control over the Singapore trading entity, but is unlikely to have any meaningful impact on stock price or financials given the negligible consideration.
