Greenply Industries has terminated its 12-year-old Joint Venture Agreement (dated 30 January 2014) with Kulmeet Singh in Greenply Alkemal (Singapore) Pte. Ltd. (GASPL), citing no business activity with the JV partner. Simultaneously, its wholly owned subsidiary Greenply Holdings Pte. Ltd. (Singapore) will acquire the remaining 50% stake held by Kulmeet Singh for a token cash consideration of USD 1. Post-transaction, GASPL will become a wholly owned step-down subsidiary of Greenply Industries. GASPL trades and markets commercial veneers and panel products, with a turnover of USD 16.7 million in FY25 (up from USD 13.4 million in FY24). The deal is expected to close in FY 2025-26.
This is a minor, low-cost consolidation move with negligible financial impact given the USD 1 consideration. It simplifies the corporate structure by converting a JV into a wholly owned subsidiary, giving Greenply full control and 100% of future earnings from GASPL's veneer trading business.
