Gujarat Fluorochemicals (GFCL) has received No Objection Letters from BSE and NSE on 9 July 2026 for its Composite Scheme of Arrangement. The scheme involves demerger of Inox Leasing and Finance (ILFL, the holding company) into Inox Holdings and Investments (IHIL, the resulting company), with GFCL as the transferee company. ILFL will surrender its NBFC registration to RBI within 15 days of the scheme becoming effective. The NOC is valid for 6 months, within which the scheme must be filed with NCLT for approval.
Positive progress on promoter group restructuring. Next step is filing with NCLT within 6 months; shareholders and creditors will then vote on the scheme.
