Gujarat Themis Biosyn Limited (GTBL) has signed an asset purchase agreement to acquire Sanofi's global anti-tuberculosis and anti-infective branded generic portfolio for EURO 158 million in cash. The deal covers 13 established branded products sold in over 55 countries across Europe, the Middle East and Africa, which generated net sales of about EURO 62 million in 2025. The acquisition includes brands, marketing authorizations, regulatory dossiers, inventory and commercial rights, but no manufacturing facilities or employees, making it an asset-light deal. GTBL plans to fund the transaction through a mix of debt and equity, with closing expected by Q3FY27 (December 2026), subject to antitrust and FDI approvals. The company expects the deal to be EPS accretive and to strengthen its margins through backward integration of its fermentation-based APIs into finished formulations.
This is a sizeable, transformative acquisition that could meaningfully expand GTBL's international footprint and shift its business mix toward higher-margin finished formulations. For shareholders, it signals a strategic leap into global branded generics, though execution risk remains around regulatory approvals, integration and the debt component of funding.
