Halder Venture submitted its response to an NSE query confirming that the Declaration of Unmodified Opinion was duly filed alongside the audited Q4/FY26 results on 29th May 2026, along with the full set of standalone and consolidated audited financial results and auditor's reports. For FY26 standalone, revenue from operations stood at Rs. 57,226.73 lakhs with net profit of Rs. 2,307.95 lakhs (down from Rs. 3,190.24 lakhs in FY25) and EPS of Rs. 8.04. Consolidated FY26 numbers were stronger — revenue of Rs. 64,679.95 lakhs and net profit of Rs. 3,190.24 lakhs, up about 51% from Rs. 2,110.63 lakhs in FY25, with EPS of Rs. 25.65. Statutory auditors Sen & Ray issued an unqualified opinion but flagged an emphasis of matter: two subsidiaries (Intellect Buildcon and Prakruti Commosale) hold 8,22,654 shares (6.61%) of the parent in contravention of Section 19 of the Companies Act, 2013, and disposal is underway. Other key updates include acquisition of the Haldia Manufacturing Unit from K.S. Oil Limited (Rs. 5,614.09 lakhs as Right-of-Use asset plus Rs. 4,430.09 lakhs in development spend) and approval of 793,650 convertible warrants at Rs. 315 each via preferential allotment.
The NSE clarification is procedural and resolved cleanly, but shareholders should note the subsidiary shareholding contravention (though management expects no financial liability) and the strong ~51% YoY jump in consolidated profit versus a standalone decline. The preferential allotment of 7.94 lakh warrants at Rs. 315 could lead to equity dilution if converted within the 18-month window.
