On the reaction day the stock moved 0.8 pts more than Nifty Microcap 250 and 0.5 pts less than its Computers - Software & Consulting peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.

Happiest Minds has received the certified copy of the NCLT Bengaluru's First Motion Order dated August 8, 2025, approving its merger with wholly owned subsidiary PureSoftware Technologies Private Limited. The order dispenses with holding shareholder and creditor meetings for both companies, since Happiest Minds already owns 100% of PureSoftware and no new shares will be issued under the scheme. PureSoftware has net assets of about Rs. 5,333 lakhs while Happiest Minds has net assets of around Rs. 1,47,837 lakhs, indicating the merger will not impact creditor interests. The merger now moves to the Second Motion stage before the NCLT, after which statutory approvals and the final effective date will follow.
Since PureSoftware is already a 100% subsidiary, this is a purely internal restructuring with no share issuance or dilution for Happiest Minds shareholders. It simplifies the group structure but is unlikely to materially move the stock price in the short term.
