Harshil Agrotech Ltd (formerly Mirch Technologies India Limited) held its 52nd Annual General Meeting on September 28, 2025, and all 8 resolutions were passed with the requisite majority. The key resolutions include adoption of FY25 audited financial statements (97.57% in favour), re-appointment of Managing Director Pankajkumar Patel (97.36%), appointment of statutory and secretarial auditors, and the appointment of two new independent directors (Ms. Saloni Mehra and Mr. Naveen Sharma). Shareholders also approved a special resolution to increase the authorised share capital and an ordinary resolution to issue bonus shares, both of which passed with about 86.6% support. Voting was carried out through remote e-voting and at the AGM via NSDL, with participation of roughly 0.25% of outstanding shares (about 18.29 lakh shares polled out of 1.12 crore). The Scrutinizer, Abhishek Chhajed of M/s. SCS and Co. LLP, validated the results.
All proposals including the bonus share issue and authorised capital hike were approved, which is positive for shareholders but the very low voting participation (~0.25%) suggests most retail shareholders did not engage, so the results largely reflect promoter/institutional sentiment. The bonus issue, once executed, will increase share count and may lead to short-term price adjustment.
