On the reaction day the stock moved 0.7 pts more than Nifty 100 and 1.5 pts more than its Private Sector Bank peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.

SBICAP Trustee Company Ltd (STCL), acting as a Security Trustee for Sky Gold Ltd, has filed a disclosure under SEBI takeover regulations regarding pledge of HDFC Bank shares. The encumbered (pledged) shares stood at 2,52,356 shares (0.0016% of HDFC Bank's total equity) after this disclosure, up from 1,26,178 shares (0.0008%) before. The increase is because bonus shares issued by HDFC Bank in a 1:1 ratio on August 28, 2025 were also pledged in favour of STCL. STCL has clarified it is not a promoter and only holds the pledged shares as security for the benefit of lenders. The transaction was dated August 29, 2025.
This is a routine technical disclosure and not a promoter-level transaction. The pledged quantity is extremely small (0.0016% of HDFC Bank's capital) and the doubling is simply due to the recent 1:1 bonus issue. No meaningful impact on HDFC Bank shareholders or stock price — Sky Gold Ltd is the actual borrower pledging its own HDFC Bank shares as collateral.
