KKR's Singapore-based entity, Hector Asia Holdings II Pte. Ltd., has acquired a 51.41% stake (7,16,77,991 equity shares) in Healthcare Global Enterprises (HCG) from Aceso Company Pte. Ltd. at ₹445 per share through an off-market transaction on May 30, 2025. Additionally, KIA EBT II Scheme I, acting in concert with the acquirer, purchased 2,50,044 shares (~0.18%), taking the combined post-acquisition holding of the acquirer and persons acting in concert to ~51.59%. The acquisition was executed pursuant to a share purchase agreement dated February 23, 2025, and follows the public announcement and detailed public statement issued earlier in connection with the open offer to public shareholders of HCG. The filing is a mandatory disclosure under SEBI's takeover rules for share purchases made during the open offer period.
KKR has secured majority control of HCG, one of India's largest cancer hospital chains, effectively completing the change of control. Public shareholders can expect the mandatory open offer to be opened at ₹445 per share (or as per the offer document), giving them an exit opportunity at the same price as the promoter-level deal.
