Hester Biosciences' board approved selling 43.81% of its 54.81% stake in subsidiary Texas Lifesciences Private Limited (TLPL) to Ticop Life Private Limited, a firm linked to TLPL's existing promoters, for a total consideration of INR 92 million. The deal was agreed on 5 March 2026 and is expected to complete within three months. After the sale, Hester will retain an 11% stake in TLPL, which will cease to be its subsidiary. TLPL reported a turnover of INR 285.89 million and net worth of INR 134.17 million in FY25, but more than 97% of its sales were to Hester itself and were eliminated in consolidated accounts, indicating TLPL functioned largely as a captive unit rather than an external revenue driver.
This is a routine subsidiary rationalisation with a minimal financial impact, since TLPL's contribution to consolidated revenue was already negligible. Shareholders are unlikely to see a material effect on earnings or stock price, though the company does give up a controlling interest in the unit.
