HUL's Board approved two transactions in its Health & Wellbeing portfolio. First, it will acquire the remaining 49% stake in Zywie Ventures (brand OZiva) for INR 824 Crores in cash, making it a wholly owned subsidiary along with its unit Zenherb Labs. Zywie reported turnover of INR 257.67 Crores in FY25, up from INR 103.72 Crores in FY24, growing at roughly 130% CAGR over two years. Second, HUL will sell its entire 19.8% minority stake in Nutritionalab (a joint venture) to USV Private Limited for INR 307 Crores. Nutritionalab had revenue of INR 118.48 Crores in FY25. Both deals are expected to close by 31st March 2026.
The acquisition gives HUL full control of a fast-growing wellness brand (OZiva), supporting its 'fewer, bigger bets' strategy in the high-growth Health & Wellbeing space. The Nutritionalab divestment is a small portfolio cleanup. Net cash outflow is about INR 517 Crores, which is manageable for HUL and unlikely to materially affect shareholder value, though full OZiva ownership could drive stronger future revenue contribution.
