Voting results along with Scrutinizer's report for the NCLT convened meeting of Unsecured Creditors of Hindware Limited

Hindware Home Innovation Limited has announced voting results from three NCLT-convened meetings held on March 7, 2026 for approval of a Composite Scheme of Arrangement. The scheme involves demerger of the company, with Hindware Home Innovation as the Demerged Company, HHIL Limited as the Resulting Company, and Hindware Limited (subsidiary) as the Transferee Company. All three meetings passed with 100% favorable votes: Unsecured Creditors of Hindware Limited (50 creditors, Rs. 328.4 crore), Unsecured Creditors of Hindware Home Innovation (41 creditors, Rs. 42.5 crore), and Equity Shareholders of Hindware Home Innovation (47.7 million shares). The scheme is under Sections 230-232 of the Companies Act, 2013, and still requires NCLT sanction.
The scheme approval is a significant corporate restructuring step. Shareholders and creditors have given overwhelming approval, but the deal remains subject to NCLT Kolkata Bench final sanction. If approved, it will result in separation of business operations into different entities.
