HLV Limited (the company behind The Leela Mumbai) submitted the voting results and Scrutinizer's report for its 44th AGM held on September 23, 2025 via video conferencing. All five resolutions were passed with overwhelming majority, with over 99.97% of valid votes cast in favour of each. Three ordinary resolutions covered adoption of FY25 audited financial statements, re-appointment of Mrs. Salini Madhu Nair as a director retiring by rotation, and appointment of M/s. RAAM & Associates LLP as secretarial auditors for five years (FY26–FY30). Two special resolutions approved the re-appointment of Mr. Vivek Nair as Chairman & Managing Director and Mr. Dinesh Nair as Co-Chairman & Managing Director, each for a five-year term from October 3, 2025 to October 2, 2030. Promoter and promoter group (holding about 25.76 crore shares, ~39% of equity) voted 100% in favour of all resolutions. Public non-institutions showed the highest dissent on the MD re-appointments, with around 10.9% voting against Mr. Vivek Nair and 10.7% against Mr. Dinesh Nair.
Continuity at the top is secured with both promoters Vivek Nair and Dinesh Nair re-appointed as CMD and Co-CMD for another five years, providing leadership stability for shareholders. The results are largely procedural and unlikely to move the stock, though the relatively higher public dissent on the MD re-appointments is a minor point worth noting for retail investors.
