Honasa Consumer (Mamaearth) board approved acquiring 58% stake in Fluence Pharma, a dermatologist-led nutraceuticals company, for an enterprise value of about Rs 135 Cr (around 3.4x FY26 revenue, 15x EBITDA). Remaining 42% to be bought in two tranches over 5-7 years. Fluence had FY26 revenue of about Rs 40 Cr with 20% plus EBITDA margin. Honasa will also incorporate wholly owned subsidiary Honasa Health for B2C nutraceuticals. Deal expected to close in 8 weeks. Aims to build a Rs 500 Cr nutraceuticals franchise.
