ICRA Limited's Board has approved the acquisition of 100% shareholding in Fintellix India Private Limited, a Bengaluru-based product company specializing in risk, supervisory, and data analytics solutions. The deal is valued at approximately USD 26 million (INR equivalent, subject to closing adjustments) and will be executed as a secondary purchase through a Share Purchase Agreement, paid in cash. Post-acquisition, Fintellix will become a wholly owned subsidiary of ICRA. Fintellix reported a turnover of INR 76.1 crore in FY24, INR 87.7 crore in FY23, and INR 90.6 crore in FY22. The acquisition is expected to close within three months, subject to customary conditions, and is not a related party transaction. The deal is aimed at strengthening ICRA's product portfolio in research, analytics, credit risk assessment, and risk reporting tools.
The acquisition adds risk reporting and data analytics capabilities to ICRA's existing credit risk software and early warning systems, potentially expanding its addressable market in the global risk technology space. For shareholders, this is a growth-oriented, cash-funded acquisition of a profitable product company that could enhance long-term revenue diversification beyond core rating services, though the deal size (USD 26M) is manageable relative to ICRA's scale.
