We wish to inform you that IFB Agro Industries Limited ( the Company ) has entered into and executed a Business Transfer Agreement dated May 30, 2025 ( BTA ) with Cargill India Private Limited for acquisition of its entire commercial compound shrimp feed and freshwater fish feed business undertaking in India as a going concern on a slump sale basis in accordance with the terms and conditions of the BTA.Further, we would like to inform you that the Company has completed the formalities for the said acquisition and the Company has made the payment of total consideration of Rs. 110.00 crs (Rupees One Hundred and Ten Crores), subject to working capital and certain other agreed adjustments in accordance with the terms of the Business Transfer Agreement to Cargill India Private Limited through bank transfer on 31st July, 2025.
