Indian Metals & Ferro Alloys Ltd (IMFA) has signed a Share Subscription and Shareholders Agreement with AMPIN Energy Utility One Private Limited on 12th June 2025. Under the deal, IMFA will subscribe to a 16.26% equity stake in AMPIN Energy, the renewable power producer. This follows the Power Purchase Agreement signed on 27th May 2025, under which AMPIN will supply IMFA 40 MW of hybrid renewable power (58 MW solar AC and 58 MW wind) to help IMFA meet its captive power status requirements. The agreement runs for 25 years from the Commercial Operation Date, and IMFA gets special rights including board appointment, first right on future share issuances, and veto on changes in capital structure. The parties are not related to IMFA's promoters, and no IMFA shares are being issued as part of this transaction.
