Indian Sucrose Limited announced the results of its postal ballot concluded on April 17, 2026. All 10 resolutions were passed with the requisite majority, including 9 ordinary resolutions and 1 special resolution. Eight of the resolutions approved material related party transactions with entities such as Highlink Investment, Tiazo Trade, Yadu Sugar, Cosmos Industries, Yadu Resorts, Indian Green Revolution, Dharamputra Food Industries, and Highway King Transportation. The special resolution approved advancing loans, giving guarantees, or providing security under Section 185 of the Companies Act, 2013. The final resolution approved the continuation of Mr. Jaitender Kumar as a Director (not liable to retire by rotation) for a further five years from April 1, 2026. For the RPT resolutions, 1,42,871 valid votes were cast with 86.69% in favour, while the director continuation resolution received near-unanimous approval (1,12,46,154 votes in favour out of 1,12,46,172).
Shareholders have approved multiple related party transactions and authorized the company to provide loans/guarantees to related parties, which may raise corporate governance concerns for minority shareholders. Low voting turnout (only 99-108 out of 20,023 shareholders) means the promoter group's interests (which were excluded from voting on RPTs) were decided mainly by a small public shareholder base.
