Info Edge's board, on July 18, 2025, approved transferring its entire 26.14% stake (60,673 shares) in associate company Shopkirana E Trading Private Limited, held through wholly owned subsidiary SIHL, to Hiveloop E-Commerce Private Limited (HEPL), an Indian subsidiary of Singapore-based Udaan (TIPL). In exchange, SIHL will receive about 1.68 crore shares of HEPL (~0.91% stake on a fully diluted basis), linked to reference shares at the TIPL level valued at approximately USD 23.13 million (notional ~1.48% stake in TIPL). Shopkirana contributed Rs 471 crore in income (15.88%) and Rs 23 crore in net worth (0.34%) to Info Edge on a standalone basis in FY25 (unaudited). After closing, Shopkirana will cease to be an associate of SIHL. The deal is expected to complete by October 31, 2025, subject to conditions precedent, and is not a related-party transaction.
