Cigniti Technologies held a court-convened meeting of its unsecured creditors on December 6, 2025, as directed by the NCLT Chandigarh Bench, to seek approval for the proposed scheme of amalgamation of Cigniti (Transferor Company) into Coforge Limited (Transferee Company). A total of 13 unsecured creditors, representing a total unsecured debt of approximately Rs. 1.48 crore, participated in the voting through remote e-voting and e-voting at the meeting. All 13 creditors, representing 100% of the unsecured debt value present and voting, voted in favour of the amalgamation resolution, with zero votes against. The resolution was declared as passed unanimously. This was filed under Regulation 44 of SEBI Listing Regulations, and the NCLT-appointed scrutinizer submitted the consolidated report on December 6, 2025.
This is a positive procedural milestone for the Cigniti-Coforge merger — the unanimous approval of unsecured creditors clears one more regulatory hurdle. The scheme still needs final NCLT sanction, but the smooth creditor voting reduces execution risk and moves the deal closer to completion, which is supportive for Cigniti shareholders.
