Ipca Labs board approved merger of Krebs Biochemicals & Industries into itself under a scheme of amalgamation. No cash consideration; share swap ratio is 7 Ipca shares of Re.1 each for every 200 Krebs shares of Rs.10 each. Ipca FY26 total income was Rs.7,431 crore versus Krebs at Rs.26 crore. Krebs makes fermentation-based APIs that Ipca currently sources from it, so the deal secures supply. It is a related party transaction done at arm's length. Promoter holding will dip marginally from 44.72% to 44.66%.
Small related-party merger secures critical API supply chain with minimal dilution. No open offer triggered. Promoter stake dips marginally.
