IRB Infrastructure's Board approved Q3FY26 results with net profit (before exceptional items) rising 14% YoY to Rs.253 crore, while total income stood at Rs.1,912 crore and EBITDA at Rs.1,063 crore. Aggregate toll revenue grew 12% YoY to Rs.2,152 crore. The Board recommended a 1:1 bonus share issue (one new equity share for every one held), subject to shareholder approval via postal ballot, and declared a third interim dividend of 7% (Rs.0.07 per share) for FY26, with record date February 19, 2026. Authorised share capital was proposed to be raised from Rs.615 crore to Rs.1,260 crore to accommodate the bonus issue. Mrs. Deepali V. Mhaiskar (DIN: 00309884) was re-appointed as Whole Time Director w.e.f. May 19, 2026. The company also entered a material related party contract to act as project manager for the TOT-18 Project through IRB Chandibhadra Tollway SPV, valued at up to Rs.1,581.83 crore (approx. Rs.1,866.55 crore including GST) over a 20-year concession period.
Shareholders get rewarded through both a 1:1 bonus issue and a cumulative 21% dividend for nine months of FY26, which should be sentiment-positive though the bonus will dilute EPS proportionally. The headline 'change in director' is simply a re-appointment of an existing promoter-family director, not a new governance event, so no negative signal there.
