IRB InvIT Fund has signed definitive agreements to acquire VM7 Expressway Private Limited, the concessionaire for the Vadodara Mumbai Expressway project, from its Sponsor IRB Infrastructure Developers Limited. This follows unitholder approval granted on December 24, 2025. The Trust will also act as Project Manager for the VM7 Project after the deal closes under the Share Purchase Agreement. The Project Implementation Agreements have been entered into as part of this transaction. This is a related-party acquisition where the listed InvIT is buying a road project SPV from its listed Sponsor.
This moves the VM7 Expressway acquisition one step closer to closing and adds a major greenfield highway project to the InvIT's portfolio, which could boost long-term distributions for unitholders once the project generates toll revenue.
