The Board of IRB Infrastructure Private Limited, the Investment Manager to IRB InvIT Fund, has noted the receipt of a modified preliminary and non-binding offer (Amended NBO) from IRB Infrastructure Trust (Private InvIT), a related-party entity within the IRB Group. The offer relates to three toll road Special Purpose Vehicles: IRB Hapur Moradabad Tollway (6-laning, 99.87 km in UP), Kaithal Tollway (4-laning, 166.26 km in Haryana), and Kishangarh Gulabpura Tollway (6-laning, 90 km in Rajasthan). All three are DBFOT (Toll) highway projects under NHDP Phase IV/V, together covering about 356 km. The Amended NBO follows earlier disclosures dated November 14, 2024 and February 21, 2025, and remains preliminary, non-binding, and subject to diligence and requisite approvals.
